Subscription & Billing Terms

1. Plans

NodePad offers a Free plan and three paid plans: Go, Pro, and Max. The Free plan includes a small monthly allowance of AI usage on designated open models, at no charge and with no card required; its inclusions may change as described on our pricing page. Each paid plan is available with monthly or annual billing; annual billing is charged once per year at the discount shown at checkout. Each paid plan includes a monthly allowance of AI usage together with the features described on our pricing page. The prices and inclusions applicable to your purchase are those displayed at checkout.

2. Usage allowances

Your plan includes a monthly usage allowance. AI activity draws on the allowance in proportion to the actual cost of the model used; more capable models consume the allowance faster. Your remaining allowance is displayed in the application.

The allowance refreshes every month and unused allowance does not carry over to the next month. This applies equally to monthly and annual plans: an annual plan is billed once per year, but its usage allowance refreshes monthly and is not made available as a single annual amount.

If you exhaust your allowance, you may purchase additional usage (“top-ups”). Top-ups are charged in real currency, carry over from month to month, and are consumed only after the included allowance is exhausted. Top-up balance is valid for 12 months from your most recent top-up purchase; each new purchase extends the validity of your entire remaining top-up balance by a further 12 months from that purchase. Unused top-up balance remains usable after a plan ends, until it is consumed or its validity lapses; purchasing further top-ups requires an active plan. Refunds for top-ups are addressed in the Refund & Cancellation Policy.

Every paid plan may use every available model. The Free plan may use the designated open models; a purchased usage balance also unlocks every model while it lasts. We may apply reasonable per-request or rate limits to protect the integrity of the Service. When a paid subscription ends, the account moves to the Free plan.

3. Billing and automatic renewal

Paid plans are billed in advance on a recurring basis, monthly or annually as selected at checkout, and renew automatically at the same interval until cancelled. By subscribing, you authorize us, through Stripe, to charge your payment method for each renewal, for any top-ups you purchase, and for applicable taxes. We send a receipt for each charge and a reminder email before each renewal.

4. Price and plan changes

We may change plan prices or plan contents. We will give you at least 30 days’ notice before a change takes effect at your next renewal. If you do not accept the change, you may cancel before it takes effect; continued use after the change takes effect constitutes acceptance.

5. Taxes

Listed prices are in US dollars and exclusive of taxes. Applicable sales tax, VAT, or GST is calculated by Stripe Tax based on your location and status, and the final total, including tax, is displayed at checkout before you pay. Business customers that provide a valid VAT or tax identification number may be charged net where a reverse-charge mechanism applies.

6. Failed payments

If a renewal charge fails, we may retry the charge and will prompt you to update your payment method. While a renewal remains unpaid, we may suspend the accrual of new allowance. If the charge ultimately cannot be collected, we may suspend paid features or cancel the subscription.

7. Cancellation

You may cancel at any time through the Stripe-hosted customer portal, which is linked from the application. Cancellation takes effect at the end of the current billing period: you retain access until then and will not be charged again. The effects of cancellation on your account and content are described in the Refund & Cancellation Policy.

8. Right of withdrawal (EU and UK consumers)

Consumers in the EU and the UK ordinarily have a 14-day right of withdrawal from a distance contract. Because NodePad supplies digital services whose performance begins immediately upon purchase, the checkout requires you to confirm a statement to the following effect:

“I request that NodePad begin providing the service immediately, and I acknowledge that I lose my 14-day right of withdrawal once the service has been fully performed.”

By confirming, you expressly request immediate performance and acknowledge that the right of withdrawal is lost once the service has been fully performed. Where the service has been performed only in part at the time you withdraw, you remain entitled to withdraw and will be charged a proportionate amount for the usage already delivered at your request. Confirmation is a condition of purchasing through the online checkout; if you prefer to contract without requesting immediate performance, contact us at [email protected] before purchasing. 9. Changes to these terms

We may update these terms in the manner described in the Terms of Service.
